San Francisco, Cal.

Sir:

I desire to employ you as counsel to assist in the argument, in the Supreme Court of the United States of the case of Emil Grisar, vs. Major-General Irwin McDowell. The case is set for argument for the 17th day of February next.

Your compensation as counsel in the case in the Supreme Court will be Three thousand five hundred dollars, and will be payable as soon as the case is argued.

In case you accept the employment, you will please advise me in writing.
